This Non-Disclosure Agreement (NDA) is entered into as of the date of acceptance, between Curios Studios ("Disclosing Party") and the undersigned team member, contractor, or collaborator ("Receiving Party").
The purpose of this agreement is to ensure that any confidential information exchanged between the parties is protected and remains undisclosed to third parties, ensuring the integrity and secrecy of sensitive information related to the company and its projects, including Flight of the Fallen and other intellectual properties.
1. Definition of Confidential Information 🔑
For the purposes of this Agreement, “Confidential Information” refers to all information, whether oral, written, or otherwise, disclosed by the Disclosing Party to the Receiving Party, including but not limited to:
- Game concepts, designs, and development materials related to Curios Studios’ projects (including Flight of the Fallen).
- Business strategies, financial data, projections, and plans.
- Marketing and advertising plans.
- Intellectual Property, including any software, code, artwork, audio, character designs, storylines, and other assets developed by or for Curios Studios.
- Any proprietary, technical, or creative information that is not publicly available.
- Any information designated as confidential by the Disclosing Party or that would reasonably be understood to be confidential under the circumstances.
2. Obligations of the Receiving Party 🛡️
The Receiving Party agrees to:
- Maintain Confidentiality: Keep all Confidential Information confidential and not disclose it to any third parties without the prior written consent of the Disclosing Party.
- Use Confidential Information Solely for Authorized Purposes: Use the Confidential Information solely for the purpose of performing work for Curios Studios and not for any personal or unauthorized use.
- Limit Access: Limit access to the Confidential Information to those employees, contractors, or collaborators who need to know in order to perform their duties and who are bound by confidentiality obligations similar to those set forth in this Agreement.
- Take Reasonable Steps: Take all reasonable precautions to protect the confidentiality of the information, including but not limited to password protection, encryption, and secure communication channels.
